terms and conditions
PLEASE READ THIS DOCUMENT IN ITS ENTIRETY BEFORE AGREEING TO BECOME OR TO CONTINUE AS A LOOKS BRAND AMBASSADOR
When we say “Company,” “Looks XR,” “we,” “our,” or “us” in this document, we are referring to Looks XR GmbH.
When we say “Ambassador”, "Publisher", “you” or “your,” we are referring to the individual who wishes to be a Looks brand ambassador, and his or her employees, agents and business affiliates (as applicable).
We sometimes refer to Ambassador and Company individually as a “Party” or collectively as the “Parties.”
BY ACCEPTING THESE BRAND AMBASSADOR TERMS AND CONDITIONS (THE “TERMS”), YOU EXPRESSLY AGREE TO BE BOUND BY AND STRICTLY ADHERE TO, ALL OF THE TERMS. THESE TERMS WILL GOVERN YOUR RELATIONSHIP WITH LOOKS AND YOUR PARTICIPATION IN THE LOOKS BRAND AMBASSADOR PROGRAM (THE “PROGRAM”). IF YOU DO NOT AGREE TO OR DO NOT UNDERSTAND ANY OF THE TERMS, PLEASE DO NOT ACCEPT THE TERMS. IF AT ANY TIME YOU NO LONGER WISH TO BE BOUND BY THESE TERMS, YOU MUST IMMEDIATELY PROVIDE WRITTEN NOTICE TO LOOKS AND CEASE ACTING AS A BRAND AMBASSADOR.
Looks XR reserves the unconditional right to deny or terminate an Ambassador. It is understood and agreed that by becoming an Ambassador, Looks XR is under no obligation to provide you with any free Product.
For the avoidance of any doubt, Content includes any and all fashion-related content, posts, photos, videos, pictures, writings, or any other work product that you create as part of the Services or otherwise related to the work product you create for Looks XR or at Looks XR's request. Share and promote the Looks XR app to encourage your fashion-savvy followers to download Looks XR. If requested by Looks XR, participate in fashion-related educational and training programs to enhance your knowledge and understanding of Looks XR or the Program.
In order to qualify for monetary compensation from Looks XR for each saved look, it is within Looks XR's prerogative to verify the authenticity of each individual account that saves your looks. Looks XR reserves the right to ascertain that these accounts are genuine and are owned by distinct individuals other than the ambassador. Should Looks XR detect potentially fraudulent activity, Looks XR retains the right to withhold monetary exchange.
Please note that this provision is in place to protect the integrity of the compensation process and ensure a fair and transparent system. Looks XR maintains the right to exercise due diligence in safeguarding against any potential fraudulent practices.
ENGAGEMENT
In exchange for certain compensation, and other good and valuable consideration (the receipt and sufficiency of which is hereby acknowledged), you agree to use your best efforts to market and promote Looks XR on your Accounts (the "Services"), subject to these Terms.
By accepting these Terms, you agree to perform the following Services:

Have an account on Looks XR with at least 10 looks posted.

Create and post fashion-forward photos, videos, and/or any relevant fashion campaigns or services as requested by Looks XR ("Content").

Have read, understood, and agreed to the Terms.

Maintain and actively use at least one personal social media account dedicated to fashion and style on platforms such as Instagram, TikTok, YouTube, or Pinterest (collectively, "Approved Media"). Your accounts on Approved Media are referred to in these Terms as "Accounts."
Looks XR reserves the unconditional right to deny or terminate an Ambassador. It is understood and agreed that by becoming an Ambassador, Looks XR is under no obligation to provide you with any free Product.

REPRESANTATION, WARRANTIES AND COVENANTS OF THE AMBASSADOR
By accepting these Terms, you represent and warrant to Looks XR that:

You possess the capacity and authority to enter into these Terms.

You are accountable for all activities associated with your participation in the Program and performance of the Services.

You are not bound by any agreement or subjected to any law that restricts your fulfillment of obligations under these Terms.

You hold the right to assign the Content to Looks XR, and the Content will be original and free from infringement upon any copyright, patent, trademark, right of publicity or privacy, or any other proprietary or intellectual property right of any individual.

You will include the hashtag "#LooksAmbassador" in the caption or accompanying text of Content posted to Approved Media and/or your Accounts.

You will conduct yourself with the utmost professionalism, exhibiting commercially reasonable skill and care in a competent and professional manner, adhering to legal, ethical, and business standards. You will maintain the highest levels of integrity, honesty, and responsibility in all interactions with Looks XR, its staff, customers, followers, and representatives.

You will represent Looks XR in a positive, truthful, and genuine manner. You shall refrain from engaging in any activities or actions that could harm or compromise the reputation, goodwill, or interests of Looks XR or any of Looks XR's associates, employees, directors, officers, agents, partners, or affiliates.

You will refrain from committing any acts that bring Looks XR into public disrepute, contempt, scandal, or ridicule, or that insult or offend any of Looks XR's customers, competitors, or the general community to which Looks XR's advertising materials are directed. This includes refraining from making disparaging remarks about Looks XR or any of Looks XR's Products and/or services.

You will not utilize Looks XR's name, trademarks, copyrighted materials, or other intellectual property in any advertising, social media, or literature without obtaining the express written permission of Looks XR, except as expressly provided in these Terms.

You will comply with the Terms, as well as Looks XR's website terms and conditions and privacy policy.
RESTRICITONS AND PROHIBITIONS
Account Suspension and Termination
By accepting these Terms, you acknowledge and understand that if any Content posted by or associated with you is deemed offensive, inappropriate, or used incorrectly, Looks XR has the right, at its sole discretion, to suspend or terminate your account and/or participation in the Program. Looks XR reserves the right to withhold and shall not be liable to pay any commissions or other compensation to you for any such Content or if you engage in any of the following, which constitutes a material breach of the Terms.
Prohibited Actions and Amendments to Publisher Programs
Making representations or warranties on behalf of Looks XR, other than those contained in Looks XR's published marketing and promotional information (e.g., Looks XR provided Talking Points).

Any techniques of artificial increase of installations or image downloads (including multiple accounts of one and the same visitor) shall not be allowed. Any Publisher Program may be amended or terminated at any time.
Compliance with Publisher Program Requirements
The publisher must keep themselves informed of any amendments to Publisher Programs, in particular, if a registered website has terminated its Publisher Program or changed the conditions for remuneration to Publishers. The Publisher must comply with the requirements of the Publisher Program, including, in particular, any stipulations as to the nature and content of the Publisher’s website and the use of third party or other Publishers' trademarks and logos.
Looks XR's Service Modifications and Publisher Responsibility
Looks XR reserves the right to modify, amend, change, or terminate Looks XR's service. The Publisher will be notified of all such changes by email or by an announcement on Looks XR's website. If the Publisher does not accept the changes, the Publisher must immediately cease the use of the service and delete all links to Linked Websites. The Publisher is solely responsible for their website and its contents and shall ensure that they conform at all times to all applicable laws and regulations.
Compliance with Laws and Age Requirements
The Publisher hereby undertakes to comply with all applicable EU and national laws and regulations in force from time to time, including, but not limited to, the EU Directive (2002/58/EC) and the General Data Protection Regulation (EU 2016/679). If the Publisher is a private individual, they must be at least 18 years of age. If the Publisher has not reached the age of 18, a parent must consent to the registration to Looks XR's service, and the registration of a Publisher below the age of 18 without parental consent will be ineffective. The Publisher must not in any way generate or contribute to generating Artificial Traffic to Linked Websites
Reporting Improper Use and Payment of Remuneration
The Publisher must notify Looks XR immediately of any known or suspected improper or wrongful use of the Publisher's links to Looks XR's website and/or a Publisher Program or of Looks XR's service in any way whatsoever. Subject to clause 5m.3, payment of accumulated remuneration to the Publisher shall be made monthly in arrears provided that the Publisher has generated valid Traffic and that Looks XR has received payment from each company with whose Publisher Program the Publisher has registered
Payment Threshold and Accumulated Amounts
Payment of remuneration will only be made if the Publisher is due an amount of at least £30/€50/500SEK or the corresponding amount in another currency ("Threshold amount") and if Looks XR has received full payment for these transactions at the time of payment. An amount due of less than the threshold amount will be accumulated to the next payment and will be included in the amount to be paid out at the next payment date, again provided that the minimum amount of at least the threshold amount. Accumulated amounts do not accrue any interest.
Relationship between Looks XR and Publisher
Nothing in this Agreement shall create or be deemed to create a partnership or relationship of employer and employee between Looks XR and the Publisher. Payment will be made either by Looks XR or by Looks XR's local subsidiaries.
Payment to the Publisher will be made directly to the Publisher's bank account. The Publisher must specify on Looks XR's website details of their bank account (including name and branch of the bank, sort code of the branch, and the Publisher's account number).
Tax and National Insurance Responsibilities
The Publisher is responsible for the payment of all tax and national insurance payable on any payments made to them by Looks XR.
Looks XR reserves the right to write off remuneration where an Affiliate program is closed, where the Publisher has been suspended from the Affiliate Program or from Looks XR's network, or if the Publisher's account has been inactive for a period of more than 12 months. The Publisher shall keep Looks XR indemnified against any claims for damages or other claims for compensation arising from the contents of the Publisher's website or any incorrect information given to Looks XR by the Publisher. The Publisher shall also compensate Looks XR for any other damages or costs caused by the Publisher's improper, negligent, or unauthorized use of Looks XR's service and technical problems or loss of data caused by the Publisher on Looks XR's website or on any website to which the Publisher is linked by Looks XR.
Governing Laws, Third-Party Involvement, and Confidentiality
This Agreement shall be governed by and construed in accordance with the laws of Germany. Terms used in the Contract and not mentioned in this section hereof shall be interpreted in accordance with the applicable legislation. If a disputable term is not defined by the applicable legislation, the Parties shall be governed by the interpretation of such term existing on the Internet and accepted in business practice. The Contractor shall have the right to involve third parties in the provision of the Services hereunder, including advertisement distributors and advertisement producers, solely upon the prior consent of the Customer; in such cases, the Contractor shall remain liable to the Customer for actions of such third parties in connection with the performance hereof. The Contractor shall provide the Services to the Customer in compliance with all international quality standards. The Parties shall keep confidential all technical, production, and commercial data that have been communicated to the Parties or have otherwise become known in connection with the performance hereof.
